Terms of service.
The agreement for using this website and the Soham Enterprises platform — including our use of Meta's WhatsApp Business Platform and the terms on which we process patient data for you.
The short version
- Where these terms apply: this website and every service we provide on our domains and their subdomains, including our hospital information system, OneMed HIS, at onemedai.org. See section 4.
- Who it's for: clinics, diagnostic centres and hospitals using our Services for their business. Your Order Form sets your plan, fees and service levels.
- WhatsApp: you own your WhatsApp Business Account and must follow WhatsApp's and Meta's terms and policies, including opt-in rules. We access Meta's platforms only on your behalf.
- Patient data: you are the Data Fiduciary; we are your Data Processor and act only on your instructions (section 9).
- Technology partner: the Services run on technology from our partner One Learn AI. Your agreement is with Soham Enterprises, and we stay responsible to you.
- AI limits: our AI handles scheduling, reminders and triage. It never diagnoses, and it escalates emergencies to your staff.
- Law: Indian law applies. Disputes go to arbitration in Thane.
This summary is for convenience. The full terms below are what apply.
1. About these terms
These terms of service (the “Terms”) are an agreement between Soham Enterprises (“Soham Enterprises”, “we”, “us” or “our”), a business registered in India, and the clinic, diagnostic centre, hospital or other organisation that uses our Services (the “Customer” or “you”).

These Terms apply to this website, to our Services and to every website and application we provide on the domains listed in section 4, including OneMed HIS. When you sign an order form, quote or proposal with us (an “Order Form”), the Order Form and these Terms together form our agreement. If they conflict, this order of priority applies: (1) the Order Form, (2) section 9 (Data processing terms), (3) the rest of these Terms.
The Services are for businesses and professionals, not consumers. The person accepting these Terms confirms that they are at least 18 years old and authorised to bind the Customer.
2. Definitions
- “Authorised Users” — your staff and others you allow to use the Services for you.
- “Customer Data” — all data you or your Authorised Users provide to the Services, or that the Services receive for you, including Patient Data and Platform Data.
- “Patient Data” — personal data about your patients, their representatives and people who contact your facility.
- “Platform Data” — data received through Meta's platforms, including the WhatsApp Business Platform, Instagram and Messenger, as defined in the Meta Platform Terms.
- “DPDP Act” and “DPDP Rules” — the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025. Terms such as “Data Fiduciary”, “Data Processor”, “Data Principal” and “personal data breach” have the meanings given in the DPDP Act.
3. Using this website
The content on this website is general information about our products and is not medical advice. Examples, sample data and calculations on the website — such as the ROI calculator — are illustrations, not a promise of results. Plans and prices shown are sample packages; your Order Form confirms your final price.
Our website form opens WhatsApp with your details pre-filled; nothing reaches us until you send that message. Links to third-party websites and apps are provided for convenience, and their own terms apply. You may not copy, scrape or reuse content from this website for commercial purposes without our written permission.
4. Our Services
Soham Enterprises provides AI automation for healthcare facilities. Depending on your plan, the Services may include WhatsApp AI appointment booking, a Voice AI calling agent, QR code appointments, a hospital CRM, automated follow-ups, feedback and review automation, discharge summary AI, social media automation, multi-doctor scheduling, a live command center dashboard and our hospital information system, OneMed HIS (the “Services”).
Your Order Form sets out the modules you have chosen, usage limits (such as WhatsApp conversations, Voice AI minutes and number of doctors), the deployment model, and the support and service levels that apply. We improve the Services over time, and we will not materially reduce the core functionality of a module you have paid for during your current subscription term.
Our technology partner
We build and deliver the Services with technology from our technology partner, One Learning AI Private Limited (“One Learn AI”, onelearnai.com), an Indian healthtech company that provides the AI technology behind our agents and our hospital information system, OneMed HIS. Your agreement is with Soham Enterprises only. We remain fully responsible to you for the Services, including any part that One Learn AI provides, and One Learn AI processes Customer Data only as our sub-processor under section 9.
Our websites and domains
We provide our websites and Services on the following domains and all of their subdomains:
| Domain | What it is |
|---|---|
sohamenterprises.co.in | This website |
onemedai.org | OneMed HIS, our hospital information system for clinics and hospitals (for example, ehr.onemedai.org) |
onelearnai.com | Our technology partner, One Learn AI |
1learn.ai | One Learn AI services |
The domains onelearnai.com, onemedai.org and 1learn.ai are registered to One Learning AI Private Limited, our technology partner, which operates them. Wherever Soham Enterprises provides a website, application or service on any of these domains or their subdomains, including WhatsApp messaging through OneMed HIS, these Terms apply to it.
5. Accounts and Authorised Users
You are responsible for keeping login details confidential, giving access only to people who need it, removing access promptly when someone leaves, and everything done through your accounts. Tell us immediately at info@sohamenterprises.co.in if you suspect unauthorised access.
6. WhatsApp Business Platform and Meta products
The Services use Meta's WhatsApp Business Platform (Cloud API) and, if you enable them, Instagram and Messenger messaging. We act as your technology provider and access Meta's platforms only on your behalf and with your authorisation.
- Your account. You own and control your WhatsApp Business Account, phone number, display name and business profile, and any Instagram account or Facebook Page you connect. You authorise us to access and manage them for you, only to provide the Services, until you remove our access.
- Meta's terms apply to you. By using WhatsApp through the Services, you agree to and must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and the Meta Terms for WhatsApp Business, as updated by Meta from time to time, and any Meta terms that apply to Instagram and Messenger.
- Opt-in and opt-out. You must obtain each person's opt-in before sending them WhatsApp messages, clearly state that they are opting in to receive messages from your facility, keep records of opt-ins, and honour opt-out requests promptly. You must use the correct message template categories and never send marketing messages to people who have not opted in to them.
- Sensitive requests. You must not use WhatsApp to ask people for full payment card numbers, bank account details, Aadhaar or other national identity numbers, passwords or similar sensitive identifiers.
- Prohibited content. You must not use WhatsApp or other Meta products through the Services to sell or promote prescription medicines, drugs or other items prohibited by the WhatsApp Commerce Policy, or to send content that breaks Meta's policies or the law.
- Meta's decisions. Meta may review, limit, suspend or disable your account, message templates or phone number, change its platform, or charge fees for conversations. We are not responsible for Meta's decisions, but we will help you respond to them. Meta's messaging charges are passed on as set out in your Order Form.
- Removing access. You can remove our access at any time in Meta Business Suite. When you do, we stop accessing Meta's platforms for you and delete Platform Data as our privacy policy describes.
7. Acceptable use
You and your Authorised Users must not use the Services to:
- break any law, including data protection, telecom, consumer protection, healthcare advertising and medical practice laws;
- send spam, or send messages or make calls to people who have not agreed to receive them or who have opted out;
- send content that is unlawful, misleading, defamatory, obscene, discriminatory or harassing, or that makes false or unapproved medical claims;
- impersonate any person or organisation, or mislead patients about who they are communicating with or that they may be talking to an AI agent;
- upload malicious code, probe or attack our systems or Meta's, or get around security measures, rate limits or usage limits;
- copy, reverse engineer or resell the Services, or use them to build a competing product, except where the law expressly allows it;
- use the Services or any Platform Data for surveillance, profiling, discrimination or decisions about eligibility for employment, insurance, credit, housing, education or government benefits.
8. Your duties as Data Fiduciary
Under the DPDP Act, you are the Data Fiduciary for Patient Data and for Platform Data received for your facility. You are responsible for:
- giving patients the notice required by Section 5 of the DPDP Act and Rule 3 of the DPDP Rules, and having a valid ground — usually consent — for the personal data you process and for the messages and calls sent on your behalf;
- obtaining verifiable consent from a parent or lawful guardian for children and for persons with disabilities who have a lawful guardian, where Section 9 of the DPDP Act and Rules 10 and 11 of the DPDP Rules require it;
- recording and respecting withdrawals of consent and opt-outs;
- responding to Data Principals' requests and grievances within the legal time limits (we will help you, as section 9 describes);
- meeting any laws and professional rules that apply to your facility and practitioners, including rules on medical records, healthcare advertising and telemedicine;
- the accuracy of the information you give us to configure the Services, such as doctor schedules, fees, timings and FAQs.
9. Data processing terms
This section is the contract required by Section 8(2) of the DPDP Act for our processing of Customer Data as your Data Processor. We will:
- Instructions. Process Customer Data only to provide the Services and on your documented instructions — these Terms, your Order Form and your use of the Services' settings — and not for our own purposes.
- Confidentiality. Ensure everyone who processes Customer Data for us is bound by confidentiality and trained in data protection.
- Security. Maintain the reasonable security safeguards required by Section 8(5) of the DPDP Act and Rule 6 of the DPDP Rules, as described in our privacy policy, including encryption, access control, logging and monitoring, backups, and keeping logs for at least one year.
- Sub-processors. Engage sub-processors only under written contracts with obligations at least as protective as this section, keep a list of them — including our technology partner, One Learn AI — in our privacy policy, tell you before adding or replacing a sub-processor that processes Patient Data or Platform Data, and consider any reasonable objection you raise. We remain responsible for our sub-processors.
- Personal data breaches. Notify you without undue delay, and in any case within 24 hours of becoming aware of a personal data breach affecting Customer Data, with the information you need to inform the Data Protection Board of India within 72 hours and the affected Data Principals, as Rule 7 of the DPDP Rules requires, and keep you updated as we investigate and fix it.
- Your obligations. Help you respond to Data Principals' requests to access, correct or erase their data, to withdraw consent, or to raise grievances, and forward any request we receive directly to you within 2 working days.
- Transfers. Transfer Customer Data outside India only as Section 16 of the DPDP Act and Rule 15 of the DPDP Rules permit, and never to a country or territory the Government of India has restricted.
- No secondary use. Not sell Customer Data, not use it for advertising, and not use it — or allow our providers to use it — to train general-purpose AI models.
- Information and audits. Give you the information reasonably needed to show that we comply with this section, and allow an audit by you or an independent auditor once a year on 30 days' written notice, at your cost, subject to confidentiality and without access to other customers' data.
- Return and deletion. When our agreement ends, or earlier on your written instruction, return Customer Data to you in a commonly used format and then delete it within 30 days (and from backups within 90 days), except for records the law requires us to keep.
10. AI features and clinical responsibility
- Our AI agents are designed for scheduling, reminders, confirmations and triage. They do not diagnose conditions, prescribe treatment or give medical advice, and they are not a medical device.
- They are guardrailed to escalate emergencies and out-of-scope questions to your duty doctor or desk staff. You must make sure someone is available to respond during the hours you set. The Services are not an emergency service; your patient communications should tell people to call 112 or go to the nearest emergency department in an emergency.
- Qualified clinicians must review and approve clinical content, such as discharge summaries and medication guides, before it is shared with patients. You remain responsible for all clinical decisions and care.
- AI can make mistakes — it may misunderstand a message, mishear a word or miss a change of language. We work to reduce errors but do not guarantee that AI output will always be accurate or complete.
11. Other third-party services
Besides Meta, the Services may work with telecom networks and — where you choose — your HIS, EMR, payment or other systems. Your use of those services is subject to their own terms, and you must hold the accounts and permissions they require. We are not responsible for third-party services, their availability, or changes they make to their features, policies or pricing.
12. Fees and payment
You will pay the fees in your Order Form. Unless your Order Form says otherwise, fees are in Indian rupees and exclude GST and other applicable taxes, which will be added to your invoices; invoices are payable within 15 days of the invoice date; refunds, if any, are as set out in your Order Form; if an undisputed invoice is unpaid 15 days after its due date, we may suspend the Services after giving you written notice; and we may change our fees for a renewal term by telling you at least 30 days before it begins.
13. Service levels and support
Uptime commitments, service credits, support channels and response times apply only as set out in your plan or Order Form. Planned maintenance, and outages caused by third-party platforms (such as WhatsApp or telecom networks), by your own systems or by events outside our reasonable control, do not count as downtime.
14. Intellectual property
We and our licensors own the Services — including our software, AI agents, workflows, templates, designs and documentation, and the Soham Enterprises name and logo — and all improvements to them. During your subscription, we give you a non-exclusive, non-transferable right to use the Services for your facility's own operations, in line with these Terms and your Order Form.
You own your Customer Data. You give us permission to use it only to provide, secure and support the Services, as these Terms and our privacy policy describe. If you send us suggestions or feedback, we may use them to improve the Services without any obligation to you.
“One Learn AI” and the One Learn AI logo are trademarks of One Learning AI Private Limited and are used on our website with its permission.
15. Confidentiality
Each party will use the other's confidential information — such as business plans, pricing, technical details and Customer Data — only for the purposes of our agreement, protect it with at least reasonable care, and share it only with people who need it and are bound by similar duties. These duties do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or is lawfully received from someone else without restriction. Either party may disclose confidential information where the law requires it, after telling the other party where it is legally allowed to. These duties last for our agreement and for 3 years after it ends — and, for Patient Data and trade secrets, for as long as the information remains confidential.
16. Warranties and disclaimers
We will provide the Services with reasonable skill and care, in line with your Order Form and these Terms. Except as expressly set out in these Terms or your Order Form, the Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all other warranties, express or implied — including that the Services will be uninterrupted or error-free, or that they will achieve particular results.
17. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or anticipated savings; and each party's total liability arising out of or in connection with the agreement is limited to the fees paid and payable by you for the Services in the 12 months before the event that gave rise to the claim. These limits do not apply to your obligation to pay fees, to either party's liability for fraud or wilful misconduct, to your indemnity in section 18, or to any liability that cannot be limited under Indian law.
18. Indemnity
You will defend and indemnify us against third-party claims, fines and penalties arising from Customer Data you provide without the notices, consents or rights the law requires, from messages sent for you without valid opt-in, or from your use of the Services in breach of these Terms, Meta's terms or the law. We will defend and indemnify you against third-party claims that the Services, used as these Terms permit, infringe that third party's intellectual property rights in India.
19. Term, suspension and termination
Our agreement starts when you accept these Terms or sign an Order Form, and continues for the subscription term in your Order Form. Either party may end it by written notice if the other materially breaches it and does not fix the breach within 30 days of being notified, or if the other becomes insolvent.
We may suspend all or part of the Services — with notice where practical — if fees are overdue as section 12 describes, if your use poses a security risk or could harm patients, us or others, or if the law, a court or Meta requires it. We will restore access once the issue is resolved.
When the agreement ends, your access stops, fees due up to the end date become payable, and we return and delete Customer Data as section 9 describes. Sections that by their nature should continue — including those on data processing, fees, intellectual property, confidentiality, liability, indemnity and governing law — continue to apply.
20. Changes to these terms
We may update these Terms to reflect changes in the law, Meta's terms or our Services. We will post the updated version on this page with a new date and, for material changes, tell customers by email at least 30 days before they take effect. Changes do not affect a signed Order Form for the rest of its current term.
21. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of India. The parties will first try to resolve any dispute in good faith through senior representatives within 30 days of one party notifying the other. If it is not resolved, it will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be Thane, Maharashtra, India, and the language will be English. Subject to this, the courts at Thane have exclusive jurisdiction, including for urgent interim relief.
22. General
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or outages of third-party platforms. This does not excuse payment obligations.
- Assignment. Neither party may transfer the agreement without the other's written consent, except to a successor in a merger, acquisition or sale of all or substantially all of its business.
- Relationship. We are independent contractors. Nothing in the agreement creates a partnership, agency or employment relationship.
- Entire agreement. These Terms, your Order Form and any documents they refer to are the entire agreement between us about the Services.
- Severability and waiver. If any part of these Terms is unenforceable, the rest remains in force. A failure or delay in enforcing a right is not a waiver of it.
- Notices. We will send notices to the email address in your Order Form. You can send notices to info@sohamenterprises.co.in and, for legal notices, to our registered office.
